1. Acceptance of Terms

By accessing or using EasyClawd ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and EasyClawd regarding your use of our AI assistant platform powered by OpenClaw.

2. Description of Service

EasyClawd provides a hosted platform that allows users to deploy personal AI assistants powered by OpenClaw. Our service includes:

• Dedicated containerized AI assistant instances
• Integration with messaging platforms (Telegram, Discord, Slack)
• Usage-based billing and subscription management
• Customer support and technical assistance

3. Account Registration

To use our Service, you must:

• Be at least 16 years of age
• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Subscription and Billing

4.1 Pricing and Plans

EasyClawd offers tiered subscription plans with varying features and usage limits. Current pricing is available on our website. We reserve the right to modify pricing with 30 days notice.

4.2 Payment Processing

Payments are processed through Creem.io, our Merchant of Record. By subscribing, you authorize Creem.io to charge your payment method for:

• Subscription fees
• Applicable taxes (VAT, GST, sales tax)
• Any overage fees for exceeding plan limits

Creem.io will appear as "CREEM.IO* EASYCLAWD" on your payment statement.

4.3 Billing Cycle and Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You may cancel your subscription at any time through the dashboard or by contacting support. Cancellation takes effect at the end of the current billing period.

4.4 Refund Policy

Refund requests are evaluated on a case-by-case basis. As our service involves immediate provisioning of dedicated VPS infrastructure and associated costs, we cannot guarantee refunds. Please contact our support team to discuss your specific situation, and we will review each request individually based on usage, circumstances, and applicable regulations.

5. Fair Use and Acceptable Use Policy

5.1 Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may use our AI assistants for:

• Personal productivity and automation
• Small business operations
• Educational and research purposes
• Other legitimate personal or commercial purposes

5.2 Prohibited Activities

You may NOT use the Service for:

• Illegal activities or violating any applicable laws
• Spam, harassment, or abuse of messaging platforms
• Distributing malware, viruses, or harmful code
• Unauthorized access to systems or data
• Mining cryptocurrencies
• Hosting or distributing adult content
• Activities that violate third-party terms of service (e.g., Telegram, Discord)
• Reselling or sublicensing your account access

5.3 Resource Usage

Each subscription tier includes specific resource allocations (CPU, memory, storage). Excessive usage that impacts other users may result in throttling or account suspension. We will contact you before taking action.

6. Service Availability and Support

6.1 Uptime Commitment

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

6.2 Support

We provide email support for all users. Response times vary by subscription tier:

• Starter Package: 48-hour response time
• Pro Package: 24-hour response time
• Power Usage Package: 12-hour response time

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as detailed in the Privacy Policy.

7.1 Data Ownership

You retain ownership of all data you input into the Service. We do not claim ownership of your conversations, configurations, or customizations.

7.2 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure. We cannot guarantee absolute security.

8. Intellectual Property

8.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by EasyClawd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes.

8.3 OpenClaw

EasyClawd is built on OpenClaw, an open-source project. OpenClaw is licensed under the MIT License. Your use of OpenClaw through our Service is subject to both these Terms and the OpenClaw license terms.

9. Termination

9.1 Termination by You

You may terminate your account at any time by canceling your subscription through the dashboard or contacting support. Your data will be deleted in accordance with our Privacy Policy.

9.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for:

• Violation of these Terms
• Fraudulent or illegal activities
• Non-payment of fees
• Activities that harm our Service or other users

9.3 Effect of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• Your container will be decommissioned and data deleted
• Any outstanding fees remain due
• Sections 8, 10, 11, and 12 survive termination

10. Limitation of Liability

To the maximum extent permitted by law, EasyClawd and its suppliers shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to your data
• Damages exceeding the amount you paid to us in the 12 months prior to the claim

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will function uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• The results of using the Service will meet your requirements

12. Indemnification

You agree to indemnify and hold harmless EasyClawd, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content or data you transmit through the Service

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the new Terms.

We will notify users of significant changes via email or through the Service dashboard.

15. Third-Party Services

Our Service integrates with third-party services including:

• Creem.io: Payment processing (Merchant of Record)
• Firebase: Authentication services
• Supabase: Database hosting
• AWS: Infrastructure hosting
• Telegram, Discord, Slack: Messaging platform integrations

Your use of these third-party services is subject to their respective terms of service and privacy policies.

17. Entire Agreement
